BY-LAWS OF THE SEELEY-SWAN ATV CLUB Inc
ARTICLE I. NAME & DATE OF FORMATION
The name of this organization shall be the Seeley-Swan ATV Club Inc, here after referred to as the SSATVC. Date of Formation May 14, 2009
ARTICLE II. ADDRESS

ARTICLE III. RECORDS
The club records, including the incorporation document, tax status and the minutes of membership and Board meetings shall be at the home or business address of the current club secretary.
ARTICLE IV. PURPOSE
The mission of this organization is to create a positive future for Seeley-Swan off-highway vehicle recreation by creating an ongoing communications forum through which OHV enthusiast and organizations can share information and experiences; participate in educational opportunities; build partnerships with land managers, land owners, and supporters; and become partners in protecting, promoting and creating a positive image of OHV recreation.
ARTICLE V. MEMBERSHIP
Section 1: Composition
The membership shall consist of individuals having an interest in off-highway vehicle recreation. Membership in this organization shall be determined on a nondiscrimatory basis without regard to race, gender, religion or national origin.
Any individual or organization may apply for membership by completing an application form available from SSATVC or other members and returning it with applicable fees.
Section 2. Membership types.
A. SSATVC shall have five (5) types of membership:
1. Individual; one person.
2. Lifetime. A lifetime individual membership (non-transferable).
3. Family; a couple, couple and children under age 18, individual and child/children under age 18.
4. Business; a commercial enterprise. Membership limited to business owner and family. (As noted above)
5. Honorary; an individual membership granted by the Board
B. Individual, Family, and Business memberships may be granted by application and payment of dues to SSATVC. Honorary memberships may be granted to individuals or organizations by a majority vote of the Executive Board following a recommendation by any member or petition by individual or organization. Honorary memberships may be granted for reasons deemed appropriate by the Board. The length of time for an honorary membership shall be determined at the time of granting.
Section 3. Minimum membership.
There shall be at least 10 people comprising the total organization membership for it to continue.
Section 4. Term of membership.
The term of Membership shall be one (1) year.
Section 5. Dues.
Dues for membership types shall be established by the Executive Board. They may be changed from time to time by the Board without modification to the Bylaws.
Section 6. Qualifications for membership.
Membership in the SSATVC shall be open only to those individuals and organizations that have paid their annual dues and in good conscience agree with the purpose of SSATVC. The Executive Board shall retain the right to refuse membership status by a majority vote and by returning any membership application fees.
Section 7. Membership removal and resignation.
A. Any member of this club may be may be removed or expelled from membership by a two thirds (2/3) majority vote of the Executive Board after finding a lack of sympathy with, or because of covert acts contrary to the purpose and objectives of this club. However, no member shall be removed or expelled until furnished with a written statement of reasons for proposed expulsion and the opportunity for an informal hearing before the Executive Board to rebut the stated reasons for expulsion.
Reasons for such expulsion could include, but are not limited to: (1) unsafe or reckless ATV use; (2) excessive alcohol use contributing to unsafe ATV use, disorderly conduct and/or disruption of club events; (3) violating State Law/Forest Land regulations regarding ATV use or land/road access while operating an ATV during club rides or events.
B. Non-payment of dues shall cause membership to lapse, without prejudice to future application; unless non-payment of dues is a continual occurrence at which time membership in the club may be revoked by the Board.
C. Any member may resign by filing a notice of resignation with the Secretary of the Club. Under this circumstance, dues will not be prorated.
D. Membership in this Club shall be neither transferable nor assignable.
Section 8. Member rights and duties.
A. Without prior authorization by the Board, no member shall have the right, duty or obligation to represent the official position of the SSATVC.
B. When authorized by the Board, members may present statements or documentation representing the official position of SSATVC providing that such statements or documentation is consistent with the official position SSATVC as stated in its positions papers as amended from time to time.
C. Members are encouraged to represent their individual points of view on off-highway vehicle related issues but shall not represent membership in SSATVC as authorizing them to speak for the organization.
Section 9. Member voting rights.
A. Each adult member, with dues paid in full, shall have one vote at meetings of the general membership or on items presented by the Executive Board.
B. Honorary members shall have no voting rights.
ARTICLE VI. OFFICERS
Section 1. Composition
The elected officers of the club shall be the president, vice-president, secretary and treasurer.
Section 2. Term of office
A. The election of officers shall be at the September meeting of the general membership from a slate of candidates submitted by the Board or solicited from the floor at the meeting. The new officers will assume office immediately following the conclusion of the meeting in which they were elected.
Section 3. Duties
A. The President shall be the chief executive officer of the club. He/she shall preside at all meetings of the club, shall preside at the meetings of the executive board, shall sign all documents requiring an official signature, and shall perform all other duties incidental to the office.
B. The Vice-President shall perform the duties of the president in the absence of, or the incapacity of the president. The vice-president shall automatically become the president of the club upon the resignation or death of the president. In the event the vice-president becomes the president, a new vice-president shall be elected to fill the vacancy.
C. The Treasurer shall keep an accurate record of all monies allocated to the club, shall supervise the disbursement of funds subject to the direction and approval of the executive board and shall serve as chair of any finance committee.
D. The Secretary shall keep an accurate record of the activities of the club. By direction of the Executive Board the secretary shall issue all notices of club meetings, shall be responsible for the correspondence of the club, shall prepare and keep a listing of all officers, committee chairs and members for the current and two (2) previous years, and shall be responsible for the club records including the incorporation document, by-laws and minutes.
E. Vacancies occurring in any of the offices due to illness, death or other incapacity to comply with assumed duties shall be filled by election by club members except in case of the president, when the vice-president shall succeed to the chair as noted in Article VI, Section 3. B. Such officers shall serve only until the next regular election.
ARTICLE VII. EXECUTIVE BOARD
Section 1. Composition
The Executive Board shall be composed of the elected officers and appointed committee chairs.
Section 2. Duties
The duties of the Executive Board shall be:
A. To perform the essential club activities that must be acted upon between meetings of the membership.
B. To formulate and recommend programs and activities to the members of the club for their consideration and approval.
C. To identify and help formulate committees necessary to further the purposes and functions of the club; and
D. To carry on such other business as may be delegated to it by the club membership.
Section 3. Meetings
The Executive Board shall meet in sufficient time prior to regular meetings to formulate the agenda and have it printed for the meetings and other occasions as called by the chair.
Section 4. Quorum
A simple majority of the elected Executive Board members must be present to constitute a quorum for the transacting of business.
ARTICLE VIII. FISCAL YEAR
The fiscal year of the club shall be May 1st to April 30th inclusive.
ARTICLE IX. MEETINGS OF THE MEMBERSHIP
A. Monthly meetings of the club shall be from April through October (time and place to be determined)
B. The regular meetings of the membership shall be to conduct the business of the club as outlined under Article IV.
1. To approve, reject, amend or refer back to committees for further study reports from special or standing committees.
2. To introduce new ideas for the president to appoint committee to make further study, reports from special or standing committees.
3. To evaluate reports of completed activities, projects or programs and make suggestions for improvements.
4. To provide members with information concerning programs helpful to them in their efforts to address OHV recreational needs.
C. The monthly membership meeting time and place will be determined and published once a year for the calendar year. Special meetings will be announced via the club web site, email and regular mail.
D. Email notice shall be sent to all members of the club at least ten (10) days in advance of any meeting to amend the by-laws.
E. Special meeting of the membership may be called by the President, or the Executive Board.
F. Only members, with their dues paid in full, present at a regular or special meeting shall constitute a quorum for the transaction of business.
ARTICLE X. COMMITTEES
The president shall appoint committees as necessary by the Executive Board.
A. The members of all standing committees shall serve for a period of two (2) years, such period to be concurrent with the fiscal year of the club over a period of two (2) years.
B. Ad hoc committee’s members shall serve in accordance with the charge to that committee.
